Paralegal

We are seeking a skilled Paralegal to support our legal team in managing contracts, compliance matters, and general legal operations. The ideal candidate will have experience in equity management, healthcare or pharmaceutical industry regulations, strong contract management skills, and the ability to thrive in a fast-paced startup environment.

Key responsibilities include:

  • Maintain and optimize the CLM system (Summize), including matter intake, approval flows, clause libraries, templates, redline comparison, and contract repository organization.
  • Build and maintain contract dashboards (cycle times, volume, statuses) and generate weekly reports for Legal, Sales, and Operations.
  • Ensure consistent metadata tagging for all agreements.
  • Manage signature workflows (DocuSign) and coordinate counterparty execution.
  • Maintain contract templates and standard forms.
  • Assist in reviewing pharma-facing agreements for compliance with TCPA, HIPAA, PHRMA Code, DEA/Surescripts, and state "mini-TCPA" laws.
  • Maintain internal trackers of: opt-out language, contact flows, consent records, attestation language, and state-specific advertising/solicitation rules.
  • Support audit preparation and coordinate with external counsel for high-compliance pharma brands.
  • Maintain version-controlled privacy, TCPA, and data governance documentation.
  • Track and update data retention schedules and vendor management artifacts.
  • Coordinate with CTO and People Ops for SOC 2 readiness materials.
  • Manage and maintain equity records, including utilizing equity management platforms such as Carta.
  • Assist with equity-related transactions and documentation.
  • Coordinate with internal teams and external advisors on equity matters.
  • Maintain corporate governance filings, ensuring compliance with state and federal requirements.
  • Support the preparation and maintenance of board materials and corporate records.
  • Coordinate with outside counsel and stakeholders on governance matters.
  • Coordinate with outside counsel as needed.
  • Manage legal department calendar and deadlines.
  • Organize and maintain legal files and records.
  • Prepare legal correspondence and documentation.
  • Conduct preliminary legal research and analysis.
  • Schedule meetings and manage calendar for legal team.
  • Maintain legal department budget tracking and expense reports.
  • Organize and prepare materials for meetings and presentations.
  • Handle confidential information with discretion.
  • Support special projects as needed.

Requirements:

  • Bachelor's degree or paralegal certificate.
  • 3-5 years minimum of paralegal experience, preferably in healthcare or pharmaceutical industry.
  • Experience with contract management systems and legal document management.
  • Proficiency in Microsoft Office Suite, Google Workspace, e-signature platforms, and Slack.
  • Proficiency in legal research tools/databases.
  • Familiarity with Carta equity management platform.
  • Excellent organizational, time-management, and prioritization abilities.
  • Strong document formatting, editing, and overall attention to detail and accuracy.
  • Exceptional written and verbal communication skills.
  • Experience in fast-paced or startup environments, with knowledge of corporate governance and compliance.

Skills Desired but Not Required:

  • Knowledge of healthcare regulations.
  • Experience with mergers and acquisitions.

The base salary range for this role is $85,000 - $95,000.
